These Terms of Use (“Agreement” or “Terms”) constitute a legally binding contract between you (“User,” “you,” or “your”) and JustVidding, a Canadian entity and white-label platform built upon Voomly’s infrastructure (“JustVidding,” “Company,” “we,” “us,” or “our”). By accessing or using our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease use of the Services.


1. Description of Services

JustVidding provides video hosting, streaming, and related digital delivery services to users for educational, commercial, or marketing purposes. Services may include, but are not limited to, access to a video dashboard, player customization, analytics, and integrations with third-party platforms.


2. Eligibility

Use of our Services is void where prohibited. You represent and warrant that:

You are at least 18 years of age or the age of majority in your jurisdiction.

You have full authority and capacity to enter into this Agreement.

You are not prohibited from using the Services under any applicable law.

If you are entering into this Agreement on behalf of a business or entity, you represent and warrant that you have the authority to bind such entity.


3. Account Registration and Responsibilities

You must create an account to use our Services. You agree to:

Provide complete and accurate registration information.

Maintain the security of your credentials.

Accept full responsibility for any activity occurring under your account.

We reserve the right to suspend or terminate any account suspected of violating these Terms or engaging in unauthorized activity.


4. License Grant and Ownership

Subject to compliance with these Terms, JustVidding grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use.

All rights not expressly granted herein are reserved by JustVidding and its licensors, including Voomly.

You retain all rights to any video content you upload; however, you grant JustVidding a royalty-free, sublicensable, worldwide license to host, display, stream, encode, and distribute such content solely for the purpose of providing the Services.


5. Acceptable Use

You agree not to:

Use the Services for unlawful, abusive, or harmful purposes.

Upload or transmit any content that infringes upon intellectual property, privacy, or publicity rights.

Use bots, scrapers, or automated tools to access the platform.

Circumvent security features or attempt to gain unauthorized access.

Violations of this Acceptable Use clause may result in immediate suspension or termination of your account.


6. Payments and Subscription Terms

Access to certain features of the Services may require the purchase of a paid subscription. By subscribing, you agree to:

Pay all applicable fees as described at the time of purchase.

Authorize recurring billing unless otherwise stated.

Be responsible for all taxes, duties, or levies imposed by your jurisdiction.

All payments are processed through third-party gateways. We do not store full credit card information.

No refunds shall be issued except where required by law.


7. Modifications to the Services

JustVidding reserves the right to modify or discontinue the Services at any time, with or without notice. We may add or remove features without liability. Continued use of the Services constitutes your acceptance of any changes.


8. Intellectual Property

All intellectual property related to the Services, including source code, user interfaces, designs, and documentation, is owned by JustVidding, T3 Consultant Group, or its licensors.

Users shall not:

Copy, modify, or distribute any portion of the platform.

Reverse-engineer, decompile, or attempt to extract source code.

Use our logos or brand materials without written consent.


9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTVIDDING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND SYSTEM INTEGRATION.

JUSTVIDDING MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JUSTVIDDING SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUES, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THIS AGREEMENT.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO JUSTVIDDING DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.


11. Indemnification

You agree to indemnify, defend, and hold harmless JustVidding, its affiliates, officers, employees, contractors, agents, and licensors from and against any claims, losses, liabilities, damages, and expenses, including legal fees, arising out of:

Your use or misuse of the Services

Your violation of any applicable law

Your breach of these Terms

Any content you upload, distribute, or transmit via the platform


12. Termination

We may suspend or terminate your access at any time without notice if we determine, in our sole discretion, that you have violated these Terms or pose a risk to the integrity of the platform.

Upon termination, your license to use the Services shall cease, and we may delete your data.


13. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Province of British Columbia, Canada, without regard to its conflict of laws principles.

Any disputes arising under these Terms shall be resolved in the courts located in British Columbia. You waive any objections to venue or jurisdiction.


14. Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and JustVidding.
